When the association between Texans Incorporated and the Mar-Lita Lamp Corporation was dissolved, Texans was left without provisions for marketing, lamp assembly and shade manufacture. It was because of this that, in 1955, Texas Ceramic Studio came into being. The creation of TCS filled the void, providing the ability to create completed products and a means to get them to market. The two companies couldn't have been a better match, as TCS was formed primarily by local businessmen who also had ties to Texans. It was a financial boon to the struggling company, giving Texans the capital needed to achieve a healthy bottom-line. TCS was a separate entity for several years, eventually becoming part of Texans Inc.

ARTICLES OF INCORPORATION
OF
TEXAS CERAMIC STUDIOS, INC.

We, the undersigned natural persons of the age of twenty one years or more, at least two of whom are citizens of the State of Texas, acting as incorporators of a corporation under the Texas Business Corporation Act, do hereby adopt the following Articles of Incorporation for such corporation:

ARTICLE ONE

The name of the corporation is Texas Ceramic Studios, Inc.

ARTICLE TWO

The period of its duration is perpetual.

ARTICLE THREE

The purpose or purposes for which the corporation is organized are:
Acquisition of products, production, assembly and general manufacturing, together with the marketing and sale of ceramic products, wrought iron, copper, brass, bronze and other metal, alloy and tile products, and to wholesale, retail and broker such items to the public or through marketing channels.

ARTICLE FOUR

The aggregate number of shares which the corporation shall have authority to issue is Two Hundred Fifty Thousand (250,000), without par value.

ARTICLE FIVE

The corporation will not commence business until it has received for the issuance of its shares consideration of the value of Seventy Thousand Dollars ($70,000.00), consisting of money, labor done, or property actually received, which sum is at least equal to ten per cent (10%) of the total capitalization of said corporation and not less than $1,000.00.

ARTICLE SIX

The post office address of its initial registered office is P.O. Drawer 308, Bangs, Texas, and the name of its initial registered agent at such address is R. V. Morgan.

ARTICLE SEVEN

The number of directors constituting the initial board of directors is five (5), and the names and addresses of the persons who are to serve as directors until the first annual meeting of the shareholders or until their successors are elected and qualified are:
